We can advise issuers and underwriters in connection with public and private issuances of a variety of debt and equity instruments. With respect to public offerings, the Firm can represent issuers in offerings of debt and equity securities, including initial public offerings, collateralized mortgage obligations, unit investment trust offerings, syndicated limited partnership interests, medium term note programs, and hybrid instruments such as foreign denominated debt securities, as well as traditional common stock and convertible debt offerings.

Our work in the area of corporate and commercial law also  includes advising on matters, such as confidentiality agreements, intellectual property protection, computer software licences and maintenance agreements, leasing agreements, insurance, employment agreements and trade practices issues. Additionally, we can assist resolving disputes between businesses, partners and directors, and advise on directors' liabilities and their duties to companies. Our lateral approach is geared to minimize the affect of disputes and where ever possible avoid litigation, allowing business managers to keep focused on success strategies rather than being diverted by time-consuming, costly disputes that detract from the focus on the company and its business. We create terms of business and other commercial documents to reflect the corporate ethos of a business and to support the ongoing relationships in business. We apply our insight to assist our clients' legal and commercial needs to develop long-term relationships and strategies.
